We provide all services necessary for the sale, acquisition, disposition, financing and development of real estate. We work with clients on such matters as the preparation of purchase and sale agreements, the negotiation of development and construction agreements, and the review of surveys and title commitments. Our team also includes attorneys experienced in the structuring of transactions and entities, whether in the creation of joint venture real estate entities or in the structuring of transactions for optimal tax benefits. Additionally, our team works with clients in the ownership and operation of real estate assets and related facilities, including in the leasing and subleasing of space, negotiation of property management agreements, and re-financing of acquisition loans.

Lead counsel to publicly-traded manufacturer in connection with acquisition and development of new foundry in Illinois. Transaction value approximately $16 million.
Lead counsel to developer in connection with the sale of multiple LIHTC properties in Georgia during 2017-2020 period with a combined transaction value in excess of $74 million.
Lead counsel to lender in connection with the 2020 acquisition and financing of a 125,000 s.f. medical office portfolio in Illinois.
Lead counsel to developer in connection with acquisition and development adaptive reuse project in 2019 of former city prison into approximately 70,000 s.f. of Class A creative office space, financed in part with state and federal historic tax credits. Total investment in excess of $20 million.

- Drafted the purchase agreement for the sale of a medical practice business
Represented the seller of a medical practice, including sale of the land and building utilized for the practice located in central Pennsylvania and a lease back to seller, drafting all purchase documents, the lease and related disposition documents for the transaction.
Performed diligence and negotiated the asset purchase agreement for the $75 million acquisition of the Sunnyvale Marriott in Sunnyvale, California, along with negotiating and closing on the assumption of the existing CMBS loan for the property and a 1031 exchange for the property.
Led diligence and negotiated the asset purchase documents for the $42 million acquisition of the Annapolis Waterfront Hotel in Annapolis, Maryland, including review and negotiation of the ground lease and restaurant management agreement for the hotel. Also negotiated and closed on the $28 million acquisition financing for the property.
