Profile

I chose Taylor English for the cooperative business model, particularly, the ability to deliver real value to clients in my areas of expertise, alongside a team of complementary strengths.

This is a platform with which traditional firms simply cannot compete.

Neil F. O’Donnell focuses his legal practice on corporate and finance issues. With more than two decades’ experience in private practice and as in-house counsel he has represented small and large clients in a variety of commercial matters across a wide range of industries.

As an in-house attorney, he had lead responsibility for all legal matters related to mergers and acquisitions, corporate and commercial finance, strategic transactions and special projects, as well as for routine commercial-contracting matters. He has extensive experience with construction, infrastructure and operations arrangements, ranging from civil works to high technology.

Mr. O’Donnell has a comprehensive practice that covers private equity, venture capital and larger-scale capital-markets investments. He has negotiated and drafted asset purchase agreements, stock purchase agreements, merger agreements, shareholder agreements, and a wide variety of ancillary and supporting documents. He has also drafted and negotiated a wide variety of corporate contracts in multiple industries where his clients operate and is well versed in corporate formation and corporate governance issues.

In his corporate and finance practice, Mr. O’Donnell has represented borrowers and lenders in a variety of financial transactions, both secured and unsecured, including project and infrastructure financing, real-estate financing, acquisition financing, asset-based financing, leveraged-finance transactions, leasing, securitizations and letters of credit.

He has structured, drafted and negotiated loan and security documents and ancillary supporting documentation related to such financial transactions, including syndicated loan facility documents and specialty finance documents.

Prior to joining Taylor English, Mr. O’Donnell was a corporate and commercial/project finance Partner at Nixon Peabody LLP and Kelley Drye & Warren LLP.

Additionally, Mr. O’Donnell handled legal matters, in Russian and in English, for clients while associated with international firms located in Moscow, Russia.
