Gerald Kline practices complex dispute resolution and business transaction law as a partner in the Firm’s Litigation and Dispute Resolution Department. For more than forty years, individuals and entities alike have chosen Mr. Kline as their lead counsel to litigate and arbitrate their “bet the farm” cases. Mr. Kline’s parallel transactional law background complements his effectiveness as a trial lawyer in entity acquisition, corporate governance, trade infringement, regulatory and business fraud disputes. Mr. Kline represents a diverse clientele: employees, officers, directors, public investors, SEC-registered persons, minority and majority shareholders, professionals, entrepreneurs, closely held entities, acquisition parties, fund managers, securities issuers, financial institutions and public companies in their disputes and business transactions.

  • Representation of a national securities brokerage firm in defeating a $10,000,000 raiding-and-recruitment claim brought by a competitor national bank;
  • Representation of a closely-held software firm against a public company’s claim of allegedly deficient installation of enterprise software;
  • Representation of public entities and their directors in class action litigation;
  • Representation of public company officers in various legal proceedings;
  • Successful representation of clients, leading to SEC’s discontinuance of insider trading investigations;
  • Representation of numerous securities industry representatives, dealers and issuers in SEC and State regulatory inquiries, audits and compliance matters;
  • Continuing representation of claimants and respondents in numerous arbitration matters, including: arbitration hearings; arbitrator jurisdiction issues; challenges to and confirmation of arbitration awards; and motions to compel arbitration;
  • M&A transactional work for private and public entities and post-acquisition litigation of M&A deals;
  • Drafting, reviewing, enforcing and defending against hundreds of “non-compete” covenants in various industries, including winning and defeating TRO and injunction claims;
  • Representing issuers and investors in securities law transactions and disputes;
  • Representing policyholders in life insurance and director & officer insurance coverage disputes;
  • Assisting diverse industries in drafting entity governance agreements in diverse industries;
  • Assisting businesses in evaluating whether to implement arbitration agreements or rely on civil court litigation remedies; and
  • Serving as a mediator to facilitate dispute settlement.
