In respectful memory of Riccarda Heising who passed away Saturday, December 14, 2019, below is her professional bio. Riccarda was an exceptional attorney and a dear friend to many of us at Taylor English. She will very much be missed, and our thoughts and prayers are with her family.
Riccarda Heising is an experienced transactional lawyer who enjoys helping entrepreneurs and start-ups achieve their business goals. She works with private companies in all stages of development on private placements and other corporate finance transactions, mergers and acquisitions, and contracts of all kinds. Ms. Heising also has extensive experience in representing clients with respect to merchandising and licensing intellectual properties, as well as endorsement, sponsorship and promotional arrangements. Ms. Heising has particular experience representing clients in the outdoor advertising industry and has completed more than 50 significant transactions in that space
Ms. Heising served as outside general counsel for a diverse set of clients, from an MLB team to outdoor advertising companies to manufacturing businesses. Ms. Heising from time to time serves as an Adjunct Professor of Law at the Emory University School of Law.

Negotiated 10-year $500 million TV broadcast agreement with Fox Sports on behalf of an MLB team which, at that time, was the largest broadcast agreement for any sports team.
Responsible for preparing and negotiating numerous promotional and sponsorship agreements prepared for corporate clients engaging celebrities, athletes, sports teams and spokespersons for brands. Represented Outdoor Systems, Inc. from 1996 to 2002 in more than 35 acquisitions (stock, asset, mergers, like-kind exchanges) of outdoor advertising businesses ranging in value from $5 million up to $1 billion, as well as in connection with the sale of OSI to Infinity Broadcasting in a public company transaction worth more than $8 billion.
Negotiated acquisition of a major league sports team, handled related matters with MLB and represented team in negotiating sponsorship, concession, franchise and suite license agreements.
Worked with a legal team to effect the reorganization of a public company and to spinoff a subsidiary into a separate public company.
Represented southeastern private equity fund in its formation offering, as well as the acquisition and disposition of its portfolio companies.
Represented the shareholders of a privately held insurance brokerage in a sale to private equity, including a rollover of a minority interest by the sellers and on-going employment and other agreements.
Advised multiple clients and prepared private placements to raise financing for new companies or existing companies to expand businesses. Recent work in private placements include an insurance brokerage and a real estate development company.
