Practicing law since 1999, Glenn D. Gunnels has extensive experience advising clients in transactions involving employee stock ownership plans (ESOPs), including the drafting and administration of ESOPs, drafting and negotiating stock purchase agreements and financing and loan documents, and the preparation of ancillary documents such as incentive plans, employment agreements and corporate documentation. Mr. Gunnels has broad experience in the area of employee benefits and executive compensation. He regularly assists clients with the implementation and administration of tax-qualified retirement plans such as 401(k), profit sharing, defined benefit, and 403(b) plans. In addition, he advises clients with respect to health and welfare benefit plan issues, including issues relating to the Affordable Care Act, HIPAA and COBRA. He also assists clients with the drafting and administration of executive compensation arrangements, including stock options, supplemental retirement plans, management performance plans, bonus arrangements and employment agreements. Mr. Gunnels advises clients in a broad range of ERISA and Internal Revenue Code issues, including fiduciary duties, regulatory changes, governmental filing and compliance requirements, and merger and acquisition related issues. As part of his practice, he drafts and amends plan documents, summary plan descriptions, summaries of material modifications, other plan participant communications and administrative forms, business associate agreements, and HIPAA privacy and security forms. He also assists clients with DOL audits and DOL and IRS corrective programs, including Employee Plans Compliance Resolution System (EPCRS).
His clients have ranged from large, publicly-traded corporations to small, closely-held companies, and he has represented clients before government agencies, including the Internal Revenue Service and the U.S. Department of Labor.
Formerly a partner with the national law firms of Schiff Hardin LLP and Smith Gambrell & Russell LLP, Mr. Gunnels earned his law degree from Northwestern University School of Law in Chicago and an MBA from the University of Memphis. Prior to attending law school, he served as the managing director and financial manager for a health care company.

Represented the trustee in the sale of a majority interest of a regional bank’s stock to an employee stock ownership plan for the benefit of employees. Responsible for drafting the ESOP plan document and trust, negotiating the terms of the transaction and bank financing, and preparing or revising various deal documents including the stock purchase agreement, shareholders’ agreement and employment agreements.
Represented the trustee in the sale of a 40 percent ESOP-owned company to a third-party buyer. Responsible for advising the trustee and the company with respect to the special issues that arise in the environment of an ESOP-owned company, including pass-through voting issues, earnout and contingent payment issues, and termination of the ESOP.
Represented several national trustees with respect to their fiduciary duties and governmental compliance requirements. Represented several trustees in Department of Labor desk audits of employee stock ownership plan transactions.
Represented a large Georgia public school district with respect to the administration and compliance of its 403(b) plan and medical plans.
Represented one of the largest nursing home chains in the country with respect to its self-funded medical plan and other employee benefit plans.
