Real Estate Acquisition and Development

Our attorneys work with clients in all types of real estate transactions, including in the acquisition, disposition, financing and development of real estate.  We work with clients on such matters as the preparation of purchase and sale agreements, the negotiation of development and construction agreements, and the review of surveys and title commitments. Additionally, our team works with clients in the ownership and operation of real estate assets and related facilities, including in the leasing and subleasing of space, in the negotiation of property management agreements, and in the re-financing of acquisition loans.  Our team also includes attorneys experienced in the structuring of transactions and entities, whether in the creation of joint venture real estate entities or in the structuring of transactions for optimal tax benefits (such as in a 1031 exchange).

Our team has extensive experience representing clients on all sides of lending and finance transactions.  We work with national, regional, local and community banks and lending institutions in all types of loan-related transactions, including single lender real-estate secured, unsecured and asset-backed loans, multi-lender and syndicated credit facilities, international and multi-currency facilities, tax-credit transactions and tax-leveraged financing. We assist clients in all manner of activities related to financing, including in the drafting and negotiation of loan documents, in conducting due diligence on the real estate and other collateral securing the loans, and in the closing of the loan.  Our team also represents individual, joint venture and corporate borrowers in obtaining, negotiating and closing of commercial, industrial, multi-family and residential loans.
