Jan Marsh is Taylor English’s Senior Benefits Consultant and is a member of the Employee Benefits & Executive Compensation Practice Group.  Prior to joining the firm, she was the senior employee benefits consultant at King & Spalding.

Ms. Marsh started her career with law firms in 1974 and continues to specialize in employee benefit plan and executive compensation and related matters.  She assists clients with qualified plan drafting, design, compliance and administration.  In addition, she has significant experience in corporate transactions, including negotiations, diligence, analyzing golden parachute issues, drafting benefit related provisions and helping clients in integrating acquired benefit programs and plans with the clients' existing programs and plans.  She has led successful negotiations with the IRS in its correction programs and obtained closing agreements on behalf of clients.  She has also participated in resolving DOL and IRS audits, and responding to subpoenas and other inquiries from the IRS, DOL and PBGC directed at clients.  Ms. Marsh has significant experience with 409A compliance issues and addressing all types of executive compensation issues in equity plans, employment agreements, nonqualified deferred compensation plans, change in control agreements, severance plans, separation agreements and retention agreements.  Finally, Ms. Marsh has significant experience in addressing ERISA related issues for private equity funds including the analysis required to issue VCOC/REOC opinions, drafting VCOC/REOC and “insignificant benefit plan investor” opinions and drafting related ERISA sections to a private equity fund’s organizational documents, private placement memoranda and subscription agreements.
