
Gail Kinney is a member of the firm’s Business Transactions, Corporate & Taxation and Real Estate, Development & Construction practice groups. Ms. Kinney advises on a variety of matters, including choice of entity, taxable and tax-exempt entity formation, shareholder agreements, joint ventures, secured and unsecured loan transactions and structured settlement agreements, and assists clients in identifying appropriate financial structures and financing tools for optimal long term growth.
Ms. Kinney has significant experience in corporate finance and the commercial and investment banking arenas. Ms. Kinney has large-firm practice experience and has also served as in-house counsel to a publicly-traded medical billing and software technology entity.
With extensive experience in the real estate arena, Ms. Kinney counsels developers, builders, and tenants on a wide variety of reale state matters, such as commercial leasing, land acquisition, build-to-suit, zoning, construction, title matters and financing.
As counsel to health care providers, Ms. Kinney provides assistance in drafting and negotiating provider agreements and offers legal guidance regarding compliance with self-referral, anti-kickback, patient transfer and reimbursement rules and regulations and advises regarding clinical trials and risk management issues. The breadth of Ms. Kinney’s experience in the fields of finance and real estate and keen insight into the needs of health care providers competing in a dynamic health care environment gives her a unique perspective and understanding of smart business practices.
